Legal Incorporation

			<content:encoded><![CDATA[<p>It has been a long time since the last post, and that isn&#8217;t because of inactivity of the FAB. It has been due to very thorough discussion and debate over many issues. Today we had a great FAB meeting, we&#8217;re making progress and hitting milestones. Here&#8217;s where we are after some significant progress:</p>
<p><strong>Legal Incorporation</strong></p>
<p>We have interviewed and settled on legal representation for the PMA. Once we have completed negotiations, I&#8217;ll post the firm&#8217;s name here.</p>
<p>Bylaws will need to be approved by the FAB as well as our legal team. These are required for incorporation. The Governance working group has provided a very good draft of the bylaws, and the FAB will be commenting on and voting on these very soon.</p>
<p>For incorporation, the FAB will need 3 officers: president, treasurer, secretary. Those people will manage the legal process. We&#8217;re lining up people right now.</p>
<p>All these steps are necessary to obtain a tax ID number so we can open a bank account. And, of course, this is needed to accept charter membership dues.</p>
<p><strong>Launch of Charter Membership</strong></p>
<p>Charter membership is an opportunity for community members to provide the financial base needed to form a professional association. We have had many, many people express an interest in charter membership, and we&#8217;re excited we&#8217;re getting close to providing this opportunity.</p>
<p>The charter membership period will open surrounding Affiliate Summit West in Las Vegas (January 11 - 13, 2009). We are busy preparing the marketing messaging and materials, a new website to take memberships, and promotional activities at the show. Join us in Vegas!!!</p>
<p>The charter members will be eligible to vote in the charter board of directors. The charter members will also be instrumental in developing the PMA into an organization that will help grow this industry and provide strong value to the community and to its members.</p>
<p>After the charter board is elected, we will open up general membership. We hope to attract a broad base of members from throughout the performance marketing industry. Charter members will help us define many of the benefits available to general members.</p>
<p>Thank you for your patience while the FAB has been diligently navigating through many issues surround formation. They have been working very, very hard on your behalf.</p>

			<content:encoded><![CDATA[<p>I just read a MarketingCharts.com article on a recent Jupiter report, which states <em>&#8220;92% of large search marketers would increase their pay-per-click (PPC) spend on SEM programs an average of 22% if major technology and management impediments are resolved.&#8221;</em></p>
<p>The impediments they speak of include <em>&#8220;insufficient personnel to manage programs, fear of risking ROI performance, inability to meet financial targets as costs per keyword rise, difficulty proving campaign effectiveness to management, and lack of available tools to handle large-scale needs.&#8221;</em></p>
<p>While I did not see the report itself, this <a title="Marketing Charts article" href="http://www.marketingcharts.com/interactive/larger-marketers-struggle-as-paid-search-grows-6406/?camp=newsletter&amp;src=mc&amp;type=textlink" target="_blank">article</a> never mentions that performance marketing experts would be the perfect solution to their problems. Instead, they claim the advertisers need to invest in more technology.</p>
<p>This is why the PMA needs to be formed! An excellent objective for the PMA is to become well known at Jupiter, become a trusted resource to approach on these kinds of topics, and to make sure performance marketing is the top-of-mind solution.</p>

<p>Here are some key milestones of the official formation:</p>
<p><strong>Filing articles of incorporation</strong></p>
<p>This is very basic and once filed, we can receive a tax ID number and open a bank account. The bank account will allow us to begin our charter membership drive (more on that soon).</p>
<p><strong>Bylaws</strong></p>
<p>This is probably the biggest part of the incorporation process. The Governance working group has a draft outline, and once ratified by the FAB, the attorneys will convert it into a legally binding document. Our ability to operate as a tax-exempt non-profit trade association is contingent on the content of our bylaws. More importantly, it is what will attract members to the PMA. The FAB will ratify charter bylaws, which we fully expect to evolve as our membership grows and various aspects of our efforts mature.</p>
<p><strong>Tax-exempt status </strong></p>
<p>This is granted by the IRS and is often the most lengthy part of the process. It is a stringent process and can take 3-9 months. However, we can operate as a non-profit entity as soon as we have filed articles of incorporation, and the IRS tax-exempt status is retroactive to our date of incorporation, so we won&#8217;t be held responsible for taxes in the interim.</p>
<p>As you can see, there is still work ahead. The working groups have actually done much of the work required in developing the bylaws, and we hope that will help accelerate some of these steps.</p>
<p>Here are some additional milestones:</p>
<p><strong>Establishing charter membership levels and dues</strong></p>
<p>These will be different than the general membership dues, and will be available at a premium, to help us boost our fund raising. The charter members will get, in return for their dues, the ability to vote in the charter board of directors. The FAB has been reviewing many proposals. This has been a very difficult and lengthy process, but we all understand how critical this will be.</p>
<p><strong>Board of Directors makeup</strong></p>
<p>There have been several proposals offered on this topic, and much debate on it too. The makeup of the board will be for the charter board, voted in by the charter members. This board makeup will likely change in the future as the PMA membership evolves.</p>
<p><strong>Selecting legal representation</strong></p>
<p>As mentioned above, we are in the process of due diligence. We want to engage help as soon as we can, so we can officially incorporate.</p>

We&#8217;ve been working on this since April 2008, and all things considered, we&#8217;re making pretty good progress.</p>
<p>The admin side of this site shows 2008, and I have been trying to figure out how to fix the display side, but then that doesn&#8217;t solve the whole problem. The whole problem is that this effort has outgrown a blog by me, using a Word Press template. Thanks to some very generous benefactors, a new PMA website is in the works. I don&#8217;t have a timeframe yet but you&#8217;ll be the first to know!</p>

			<content:encoded><![CDATA[<p>I haven&#8217;t been keeping up on my posting, but the PMA volunteers have been extremely busy in the formation activities. After much debate, careful analysis and exhaustive review, we are getting very close to some huge milestones. The Formation Advisory Board (FAB) will be ratifying some key formation elements in the coming weeks:</p>
<ul>
<li>Charter members levels, benefits and dues</li>
<li>Charter board of directors structure and election process</li>
<li>Charter by-laws</li>
<li>Legal/administrative representation</li>
</ul>
<p>We are still optimistically working towards the opening of the Charter Membership period within weeks! And we are still targeting January for our official launch and first member meeting.</p>
<p>I want to extend a big thanks and much admiration to the 45 volunteers who make up the FAB and the working groups. This has not been an easy process; there are so many varying perspectives to take into consideration. The volunteers have put in an amazing amount of effort and expertise, and we would be sunk without them.</p>
